Referral Program Terms and Conditions
Thank you for your interest in the BlueHive Referral Partner Program. By participating in this program, you agree to the following terms and conditions:
1. Eligibility:
a. To be eligible for the BlueHive Referral Partner Program, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.
b. You must have received explicit approval to participate in the program.
c. BlueHive reserves the right to review and approve all applications for the program and may reject or terminate any partnership at its sole discretion.
d. You must legally reside in the US and be able to receive payments on a US bank account under your name.
2. Program Structure:
a. The BlueHive Referral Partner Program allows partners to refer potential clients to BlueHive's custom software development services and other services offered by BlueHive as listed in this website.
b. Referrals must be submitted through the designated referral link or method provided by BlueHive to be eligible for program benefits.
c. Referrals should be new clients to BlueHive who have not been in contact with the company within the past six months.
d. BlueHive reserves the right to track and verify referrals, and the decision on the eligibility of referrals and associated payments is at its sole discretion.
3. Referral Commissions:
a. Referral commissions are based on a percentage of the total payments received by BlueHive from referred clients.
b. The commission percentage is determined by your partner tier, which is based on the total value of referrals you have made.
i. Tier 1: Referral annual project value up to $100,000 – 1.5% commission on each client payment related to the referred project.
ii. Tier 2: Referral annual project value between $100,001 and $250,000 – 2.5% commission on each client payment related to the referred project.
iii. Tier 3: Referral annual project value above $250,000 – 3.5% commission on each client payment related to the referred project.
c. The commission percentage is calculated based on the annual project value of the referral at the time of contract signing.
d. Commissions are paid on a quarterly basis, within 30 days after the end of each calendar quarter, provided that the minimum payment threshold of $100 has been reached.
e. BlueHive may, at its discretion, change the commission rates or program structure at any time, with reasonable notice provided to partners.
e. Commision payments are dependent on client's payments and no commission payment will be made in advanced or without the corresponding payment from client.
4. Obligations:
a. As a referral partner, you agree and acknowledge that you have no employment or any other professional or business relationship with BlueHive and agree that you do not represent BlueHive or is entitled to speak on BlueHive's behalf at any capacity. You also agree to be clear about your role as a referral partner and always act in an ethical manner.
b. You shall not engage in any activities that may harm BlueHive's reputation or violate any applicable laws or regulations.
c. You will not make any false claims, misrepresentations, or warranties regarding BlueHive's services or capabilities.
d. BlueHive retains the right to revoke partnership and withhold any pending or future commissions if a partner violates any of these obligations.
e. You shall not have any existing business or employment relationship with the referred client in a way that this program benefits can benefit the referral financially or be seen or used as a form of project discount.
5. Limitations of Liability:
a. BlueHive shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the referral partner program.
b. BlueHive's total liability under this program shall not exceed the total commissions earned by the partner during the 12-month period preceding the event giving rise to the liability.
6. Termination:
a. Either party may terminate the partnership in the Referral Partner Program at any time, with or without cause, by providing written notice to the other party.
b. Upon termination, any unpaid commissions will be paid out in accordance with the program terms and conditions.
7. Modification of Terms:
a. BlueHive reserves the right to modify or amend these terms and conditions at any time without prior notice.
b. It is the partner's responsibility to review these terms periodically for any updates or changes.
